Legal entity structure chart template

A legal entity structure chart shows which company owns which, and where each one is registered. This example places a group across the UK, Ireland, the US and Singapore, with founders, an employee benefit trust and a fund owning the parent, wholly owned subsidiaries, a 51 per cent joint venture with an outside partner, a branch that is not a separate legal person and a dormant company due for strike-off.

This is a planning example, not legal advice. Check your own policies, advisers and the local rules that apply to you.

How to use this template

  1. Set out the jurisdictions

Make a column for each country where the group has an entity, so cross-border ownership is easy to follow.

  2. Place the entities and owners

Start with the ultimate owners at the top, then the parent, then each subsidiary. Use shape and colour to show the entity type.

  3. Label every ownership line

Put the percentage on each line and show third parties outside the group. Add the key facts that people ask for most.
